Terms of Service

These Terms of Service ("Terms") govern your access to and use of the websites, software, services, and content provided by BizTech Management LLC, a Michigan limited liability company located at 28157 Dequindre, Suite C, Madison Heights, MI 48071, United States ("BizTechMgt," "we," "us," or "our"). By using our service, you agree to these Terms.

1. Acceptance of Terms

By accessing or using the BizTechMgt platform (the "Service"), you ("Customer") agree to be bound by these Terms. If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree to these Terms, you may not use the Service.

2. Service Description

BizTechMgt provides a website-leasing platform for churches, nonprofits, small businesses, and affiliate partners. The Service includes website templates, content management, hosting, customer relationship management (CRM), email and SMS communications, donations and commerce processing, and (where applicable) the Grant-Ready engine for Google Ad Grant management.

The specific features available to Customer depend on the subscription tier selected (Basic, Mid, Premium, or Enterprise). See our Pricing page for current tier descriptions.

3. Account Terms

To use the Service, Customer must:

• Be at least 18 years of age, or the age of legal majority in their jurisdiction
• Provide accurate, current, and complete account information
• Maintain the security of their account credentials
• Notify us immediately of any unauthorized account access
• Be responsible for all activity that occurs under their account

One person or organization may not maintain more than one free trial account. Multi-site Customers (multi-campus churches, multi-chapter nonprofits) should subscribe to the Enterprise tier.

4. Subscription & Billing

Service is billed monthly or annually in advance. Customer authorizes BizTechMgt to charge the payment method on file for all applicable fees.

No setup fees, no cancellation fees. Customer may cancel at any time with 30 days notice. Upon cancellation, the Service continues through the end of the paid billing period; thereafter, access is suspended and data export becomes available.

BizTechMgt reserves the right to change pricing with 60 days advance notice to existing Customers. Price changes take effect at the next billing cycle.

5. Acceptable Use

Customer may not use the Service to:

• Violate any applicable law or regulation
• Distribute malware, spyware, or harmful code
• Send unsolicited bulk email (spam) in violation of CAN-SPAM, CASL, GDPR, or similar laws
• Host or distribute content that is illegal, defamatory, or infringes others' rights
• Attempt to circumvent our security measures or rate limits
• Resell or sublicense the Service without our written consent (except as permitted under our Affiliate Program)

6. Intellectual Property

Our IP. The Service, including its software, design templates, brand, and underlying technology, is owned by BizTechMgt and protected by copyright, trademark, and other intellectual property laws.

Customer's IP. Customer retains all ownership rights to content, data, branding, and materials uploaded to the Service ("Customer Content"). Customer grants BizTechMgt a limited, worldwide license to host, display, and process Customer Content solely as necessary to provide the Service.

7. Customer Data

Customer Content and Customer's end-user data (collectively, "Customer Data") is and remains the property of Customer. BizTechMgt processes Customer Data in accordance with our Privacy Policy and Data Processing Addendum.

8. Termination

Either party may terminate this agreement with 30 days written notice. BizTechMgt may suspend or terminate Service immediately for material breach of these Terms, including non-payment, abuse, or violation of acceptable use policies.

Upon termination, Customer may export their data for up to 90 days. After 90 days, all data is permanently deleted from production systems and from backups within an additional 30 days.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT, EXCEPT AS REQUIRED BY APPLICABLE LAW.

BizTechMgt does not warrant that the Service will be uninterrupted, error-free, or that Google Ad Grant applications managed through Grant-Ready will be approved (though our pre-flight process is designed to maximize approval probability).

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BIZTECHMGT'S TOTAL CUMULATIVE LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE GREATER OF (A) THE FEES PAID BY CUSTOMER IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE THOUSAND U.S. DOLLARS ($1,000).

NEITHER PARTY SHALL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

11. Indemnification

Customer agrees to indemnify and hold harmless BizTechMgt from any claims, damages, or expenses arising from (a) Customer's use of the Service in violation of these Terms, (b) Customer Content, or (c) Customer's violation of any third-party rights.

12. Governing Law & Venue

These Terms are governed by the laws of the State of Michigan, United States, without regard to conflict of law principles. Any dispute arising under these Terms shall be brought exclusively in the state or federal courts located in Oakland County, Michigan, and both parties consent to personal jurisdiction therein.

13. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated by email and posted on our website at least 30 days before taking effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
